General Terms and Conditions regarding the use of the Bosch Sicherheitssysteme GmbH Media Pool (“Media Pool”)

Welcome to our Media Pool. By using the Media Pool, you are agreeing to comply with and be bound by the following terms of use. Please review the following terms carefully. If you do not agree to these terms, you should not use the Media Pool.

Definition of the Media Pool

The Media Pool is the Marketing Asset Management tool of Bosch Sicherheitssysteme GmbH (BT), and is used for the storage and distribution of Assets. “Assets” are media data such as marketing materials, photos, graphics, videos, presentations, compilations, images and text.
The Media Pool is an internet accessible, highly structured database, to archive standardize and distribute media content.


General guidelines

  • BT has entered into an End User License Agreement (EULA) for Picturepark Cloudservice with Vision Information Transaction AG, Aarau, Switzerland, a Swiss corporation regarding the preparation, organization and use of the Media Pool. The Terms and Conditions of EULA, which you can find here as a link, shall apply accordingly between you and BT.
  • BT shall grant you the single, non-sub-licensable, and non-transferable right to use the Assets for the purpose of the functions and the intended use of the Media Pool and with the operating instructions. For the purposes of this contract you are entitled to save, print and reproduce an appropriate number of copies of the Assets issued, while observing the existing trademark- and copyrights.
  • BT shall provide the Media Pool on the server in SaaS (software as a service) form; the Media Pool is not issued to you to permanently save, nor are you entitled to make the Media Pool available to third parties.
  • BT reserves all ownership and usage rights to use all Assets of the Media Pool. These rights are not just limited to the present design and layout of the services and website, but also cover all future improvements and changes. Note that the Assets are for the promotion of BT and its products and services only and shall only be used within the original context. These may not be freely distributed nor used in a manner not related to BT.
  • The Assets related to the Media Pool are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. You do not acquire ownership rights to any Assets by downloading them. The posting of information or materials on the Media Pool does not constitute a waiver of any right in such information and materials.
  • You shall neither remove nor modify any of copyright notices from the Assets.

Upload guidelines for Project Members

  • Only upload new Assets with filling in the metadata in the exact way and as detailed as possible (mandatory: title, description, source, copyrights and responsible).
  • Only upload material in compliance with existing copyrights.

Restrictions

  • You shall only be entitled to rights that are explicitly granted to you by this agreement. In particular, and without prejudice to the customer’s contractual partners’ rights, this agreement does not grant you the following entitlements
    • To use the Media Pool or allow third parties to use the Media Pool outside the scope of the agreed usage.
    • To give third parties access to the Media Pool.
    • To reproduce the Media Pool or cede it to third parties for use for a limited period, in particular to lease or lend it to third parties.
  • Don't forward your login to any person!
  • Persons entitled to download have to make sure that no other parties can access the system.
  • The Assets may only be downloaded in the exact way as specified.
  • The Assets may only be downloaded and used for the purposes as specified.
  • The Assets may not be used beyond the scope of usage (media, territory and term).

The protection of your privacy in the processing of your personal data is an important concern to which we pay special attention during our business processes. We process personal data collected during your visit to our websites confidentially and solely in compliance with legal provisions. Data protection and information security are part of our corporate policy.

Closing provisions

The laws of the Federal Republic of Germany shall apply to the contractual relationship to the exclusion of the UN Convention on the International Sale of Goods


Appendices shall be an integral part of this agreement in their respective valid form, i.e. signed by both parties. In the event of contradiction, the provisions of the annexes shall take precedence over those of the main body of the agreement.


Amendments or additions to this agreement, its annexes, or the additional agreement must be in writing to be effective. This shall also apply to the waiver of the requirement of written form.


Should individual provisions of this Contract be invalid, this shall not affect the validity of the remaining contractual provisions.


Should loopholes that the parties did not foresee be revealed in the course of implementing this agreement, or should the ineffectiveness of a provision within the meaning of Paragraph (4) above become legally established or should both parties agree that a provision is ineffective, the parties shall undertake to close this loophole or replace this ineffective provision in a suitable objective manner based on the commercial purpose of the agreement.


The exclusive place of jurisdiction is Munich, Germany.
